Who this is for
RIDBS works with operators across the South African grocery, FMCG and franchise landscape — and with the people who advise, supply to, finance, regulate, or transact with them. If you are any of the following, you are the right reader.
Independent & multi-store supermarket owners
Single-store, 2–10 store groups, township supermarkets, cash-and-carry, and private-label-led operators who need senior retail IQ without a full-time executive.
Franchisees & franchisors
SPAR, Pick n Pay, Boxer, Shoprite, Woolworths Food, and other franchise-format operators on either side of the relationship — and the lawyers, accountants and suppliers who support them.
Distressed & turnaround operators
Retail and FMCG businesses under cash, supplier or creditor pressure that need a structured 90-day intervention rather than another report.
Two service families. One operator.

B. Regulatory & compliance orientation for the SA retail & FMCG industry
South African legislation directly affects how every retailer and FMCG operator runs their store, treats customers, handles staff, signs suppliers, and markets online. RIDBS adds a practical, working-knowledge orientation layer to the six operational services above. None of this is legal advice — formal opinions are always referred to a registered South African legal practitioner.
POPIA readiness
POPIA 4 of 2013
Privacy notices, consent records, operator agreements, breach-response runbook, registration with the Information Regulator where applicable.
CPA orientation
CPA 68 of 2008
Plain-language product labelling, price-display and promotional-pricing rules, returns, supplier warranties, CGSO / NCC complaint-readiness.
ECTA & e-marketing
ECTA 25 of 2002
Website disclosures, electronic transaction records, opt-in / opt-out for direct marketing, WhatsApp and SMS campaign compliance.
Franchise & lease orientation
CPA Ch. 6 · FASA
Commercial benchmarking of franchise agreements, restraint-of-trade and renewal terms, lease terms. Commercial review only — formal legal review by your attorney.
Labour-relations orientation
LRA · BCEA · EEA
Disciplinary procedures, basic conditions of employment, shift and overtime discipline, CCMA-process map, dismissal checklists. Not legal representation.
B-BBEE supplier orientation
B-BBEE Act 53 of 2003
Procurement practices, supplier scorecards, ED / SD contribution orientation. RIDBS does not issue verification certificates — those come from a SANAS-accredited agency.
Competition-law awareness
Competition Act 89 of 1998
Practical, plain-English training on price-fixing, market division, abuse of dominance, resale price maintenance. Awareness only — not legal opinion.
Supplier & trade-credit
NCA 34 of 2005
Standard supplier trading terms, payment terms, retention of title, and the application of the NCA to in-store credit and loyalty credit where relevant.
Licence-to-trade orientation
Liquor · Business · Health
High-level orientation on liquor, business, health and sign permits. RIDBS does not lodge licence applications — those are referred to a registered attorney or liquor-licence consultant.
Fees — in South African Rands (ZAR)
All fees below are quoted in South African Rands (ZAR). RIDBS is currently not registered for VAT and therefore no VAT is charged on invoices. No fees are refundable for unused hours; retainer hours may be carried forward per the agreement.
Store Profit Audit, Site & Store Feasibility, Full Store Optimisation and Supply Chain & Turnaround are per-engagement and are quoted on scope in the signed engagement letter. Regulatory & compliance add-on modules (POPIA readiness, CPA promotional orientation, franchise agreement benchmark, labour-relations orientation pack) are quoted as fixed fees in the signed engagement letter. See the Professional Services Agreement for the full fee schedule.
Payment & engagement policy.
RIDBS operates on a clear, professional payment and engagement model so that every client relationship starts and stays on transparent commercial terms. The following policy applies to every engagement — ad hoc sessions, retainers, and project work alike.
Written confirmation
Every engagement — session, retainer month, or project — is confirmed in writing (email is sufficient) and accepted by both parties before any work begins. No work is scheduled, no session is held, and no deliverable is released until written confirmation is in place.
Invoice
Every chargeable engagement is supported by a invoice issued by RIDBS. The invoice sets out the scope, the fee, the VAT treatment, and the payment terms. The invoice is the single source of truth for payment — please pay only against a current RIDBS invoice.
EFT — in advance, to the nominated account only
All fees are paid by EFT (Electronic Funds Transfer) in South African Rands (ZAR) in advance. Payments must be made only into the bank account nominated on the current RIDBS invoice. RIDBS will never ask you to pay into a different account, in a different currency, or via a different channel. If you receive any payment instruction that does not match the invoice, please contact us before paying.
Non-payment — what happens
If payment is not received by the due date, RIDBS may delay or cancel scheduled sessions, suspend access to RIDBS materials, charge interest at the prescribed rate under the Prescribed Rate of Interest Act 55 of 1975, and terminate the engagement after 10 days’ written notice. The full consequences are set out in the Professional Services Agreement (clauses 4.6 and 8.2).
Bank details: Bank account details are stated on every RIDBS invoice. Please do not rely on any other source for payment instructions. For verification of any payment instruction, contact RIDBS in writing before transferring funds.

Frequently asked questions
Are you a lawyer? Can you give me legal advice?
No. RIDBS is a business and operational consultancy. The Principal Consultant is not an admitted attorney. Any legal, regulatory or statutory content we deliver is advisory in nature only and is intended to help you run your business better — not to replace formal legal advice from a registered South African legal practitioner (LPC). Where formal legal advice, drafting or representation is required, we will refer you to a registered attorney. See the disclaimer below.
Are your fees inclusive or exclusive of VAT?
All fees in our rate card are exclusive of VAT. VAT at the applicable rate (currently 15%) is added to every invoice where RIDBS is a registered VAT vendor. All amounts are in South African Rands (ZAR).
Do I pay before or after the work is done?
All fees are paid in advance, before work commences, before sessions are scheduled, and before any deliverable is released. Unused retainer hours are not refundable in cash but may be carried forward into the immediately following month (up to 50% of the monthly contracted hours).
Do you offer a cooling-off period?
Where you are a natural person and the agreement was concluded as a result of direct marketing outside our usual place of business, you may have a 5 business-day cooling-off right under section 16 of the Consumer Protection Act 68 of 2008. The exact wording is in the Professional Services Agreement (clause 4.8).
Are you POPIA compliant?
Yes. RIDBS is fully aligned with the Protection of Personal Information Act 4 of 2013 (POPIA). We collect only the personal information we need, retain it only for as long as we need it, use it only for the purpose for which it was collected, secure it appropriately, and honour every data-subject right (access, correction, deletion, objection, withdrawal of consent). Where we process personal information on your behalf, we do so as your operator in terms of POPIA section 21.
Can you represent me at the CCMA or in court?
No. RIDBS does not represent clients at the CCMA, in the Labour Court, in any other tribunal, or in any forum where the right of appearance is reserved to admitted attorneys or registered legal practitioners. We provide orientation — disciplinary procedures, basic conditions of employment, CCMA process maps — and refer formal representation to a registered legal practitioner.
Do you issue B-BBEE certificates?
No. B-BBEE verification certificates must be issued by a SANAS-accredited verification agency or a registered accountant. RIDBS can help you prepare for verification by orienting your procurement, supplier-development and enterprise-development practices.
What does “remote delivery” actually look like?
It means: no site visit required for most engagements. You share a short smartphone video walkthrough, your sales / stock / supplier data via a secure shared folder, and we deliver the report, video walkthrough and strategy call over Teams / WhatsApp. For physical on-site engagements (training, store walk, franchise review) the on-site rate applies and travel / accommodation are charged at cost per the agreement.
Which South African laws does RIDBS work with?
Working knowledge of: POPIA, the Consumer Protection Act, ECTA, the National Credit Act (for in-store credit), the Labour Relations Act, BCEA, EEA, the Companies Act, the Income Tax Act, the VAT Act, the Competition Act, the Foodstuffs, Cosmetics and Disinfectants Act, the Liquor Products Act, FICA, the B-BBEE Act, and the National Health Act (where relevant to food premises). This is a working-knowledge summary, not a legal opinion.
Where are you based?
Durban, KwaZulu-Natal, South Africa. We deliver remotely across South Africa and to English-speaking operators elsewhere in Africa and globally.
